ownership and all rights to the Free-Hit-Counters.com
logos, trademarks, software, trade secrets, databases,
reports, and Web site.
If
this agreement is terminated by us or by you for
any reason, you agree to remove our code from
all webpages under your control.
We
will not give your email address or personal identifying
information to any third party without your permission
or unless required by law or court order.
YOU
AGREE TO DEFEND, INDEMNIFY AND HOLD US HARMLESS
FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY
COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED
TO ATTORNEY'S FEES) ARISING FROM YOUR VIOLATION
OF THIS AGREEMENT OR ANY THIRD-PARTY'S RIGHTS,
INCLUDING BUT NOT LIMITED TO INFRINGEMENT OF ANY
COPYRIGHT, VIOLATION OF ANY PROPRIETARY RIGHT
AND INVASION OF ANY PRIVACY RIGHTS. THIS OBLIGATION
SHALL SURVIVE ANY TERMINATION OF THIS AGREEMENT.
OUR LIABILITY WILL NOT EXCEED THE PURCHASE PRICE
OF THE SERVICES.
We
own the data on visitors to your web site that
we collect, and we provide data to you as a service.
You can use the data we provide for any legal
purposes. We will use the data in compliance with
our privacy policy.
This
Agreement will be construed and enforced in accordance
with the laws of the State of Washington without
regard to its conflict of laws principles. Venue
for any dispute under this Agreement will be King
County, Washington.
If
you choose to have your site traffic statistics
compiled at http://www.Free-Hit-Counters.com you
agree that:

reserve the right to remove any site from any
of our services at any time without notice.
If
you participate in our banner exchange, we may
reject any banners that we consider objectionable.
Pages
that crash browsers may be removed from our service.
You
will not use any means of falsely generating hits
to your pages.
The
URL displayed on the Free-Hit-Counters.com account
must point to the page being counted. The URL
must point to your domain and not to someone else's
site. Please contact us if you have any special
circumstances.
If
your site name, domain name, or description contains
any of several explicit, offensive words or certain
words designed to garner visitor traffic from
search engine results that we consider inappropriate,
we may remove your site from our service.
Your
Web site information (name, URL, description,
etc.) may be available, indexed, and searchable
on the Free-Hit-Counters.com and Internet-Search
Engine.com web sites.
Clients
who have selected the banner option (standard
free-hit-counter): Do not place text or graphics
near or around the Free-Hit-Counters.com banner
in a such a manner which hides or alters the appearance
of our banner or dissuades a visitor from clicking
the "free-hc" banner.
Clients
who have selected an upgraded service plans:
You agree to pay us in accordance with our price
schedule. We will charge you in advance for one
year of services, and you must take action to
renew your service at the end of the billing period;
your account will not be charged automatically.
You may cancel your subscription at any time before
the end of a billing period, but you will not
receive any refunds for early cancellation. We
reserve the right to deactivate accounts for failure
to pay. Any outstanding balance becomes immediately
due and payable upon termination of this agreement
for any reason.
